These Terms of Service ("Terms") govern your use of our website and services that assist independent developers in registering U.S. companies (including Wyoming LLCs), opening U.S. bank accounts, and accessing online payment platforms like Stripe and PayPal.

By accessing or using any part of the Service, you agree to be bound by these Terms. If you do not accept these Terms, you may not use our Service.

1. Our Services

We offer tools and guidance to help individuals:

  • Form U.S. business entities (e.g., Wyoming LLCs)
  • Apply for and open U.S. bank accounts (through partner banks)
  • Set up and integrate payment platforms (e.g., Stripe, PayPal)
  • Maintain basic compliance (e.g., EIN, annual report reminders)
  • Assist with U.S. federal and state tax filings through our network of partner Certified Public Accountants (CPAs).

Disclaimer: We are not a law firm, accounting firm, or financial advisor. We do not provide legal, tax, accounting, or investment advice. Our services are administrative and technical in nature. All tax advice and tax preparation services are provided by independent, licensed CPAs we partner with.

2. Eligibility

You must:

  • Be at least 18 years old
  • Have the legal capacity to enter into a contract
  • Provide truthful and complete information

We may deny service to individuals from certain jurisdictions due to U.S. export control laws, sanctions, or financial regulations.

3. User Obligations

You agree to:

  • Provide accurate, complete, and up-to-date information
  • Use the Services for lawful purposes only
  • Comply with applicable laws in your jurisdiction and the U.S.

You are responsible for:

  • Keeping your account secure
  • Ensuring compliance with tax/reporting requirements of your home country
  • Managing your LLC's obligations, including annual filings and tax reporting

4. Collection and Use of Information

We collect sensitive personal and business data (e.g., passport ID, address, company name, EIN, banking preferences) to:

  • Facilitate registration and verification
  • Comply with Know Your Customer (KYC) and Anti-Money Laundering (AML) policies
  • Communicate with banks, payment platforms, and U.S. government agencies

5. Third-Party Services

Our service may include referrals or connections to third-party platforms (e.g., Mercury Bank, Stripe, Wise). These third parties operate independently, and your interactions with them are governed by their own terms and policies.

6. Service Limitations and No Guarantee

We strive to assist you in the setup process. However, we do not guarantee:

  • That your company will be successfully formed
  • That your EIN or bank account will be approved
  • That payment platforms will accept your application

Indieing.com is not liable for losses resulting from rejection by government agencies, banks, or platforms.

7. Tax Filing and CPA Partner Services

a. Service Description: Our tax filing service involves collecting your financial information and facilitating its submission to our independent, third-party Certified Public Accountant (CPA) partners ("CPA Partners") for the preparation and filing of your U.S. federal and/or state tax returns (such as Form 1120, Form 5472, etc.).

b. User Responsibility for Information: You are solely responsible for providing complete, accurate, and truthful financial records and information required for tax preparation. We and our CPA Partners will rely entirely on the information you provide. Any errors, omissions, or misstatements in your provided information may lead to incorrect tax filings, penalties, or audits, for which you will be solely liable.

c. Role of Indieing.com: Our role is strictly limited to that of a facilitator and intermediary. We assist in collecting and organizing your documents and act as a communication bridge between you and the CPA Partners. We do not prepare, review, sign, or file tax returns ourselves.

d. Disclaimer of Liability for Tax Services:

  • i. No Guarantee: We do not guarantee the outcome of any tax filing, the amount of any tax liability or refund, or that you will not be subject to an audit by the Internal Revenue Service (IRS) or any other tax authority.
  • ii. CPA Partner Independence: Our CPA Partners are independent contractors, not employees or agents of Indieing.com. Your direct professional relationship for tax matters is with the CPA Partner. Indieing.com is not a party to the accountant-client relationship and disclaims all liability for any advice, errors, omissions, or professional malpractice committed by any CPA Partner.
  • iii. User's Final Review and Approval: You will be given the opportunity to review your tax returns before they are filed. By authorizing us or our CPA Partner to file the return, you confirm that you have reviewed it and believe it to be correct and complete to the best of your knowledge. The ultimate responsibility for the accuracy of your tax return rests with you.
  • iv. Limitation of Scope: The tax filing service is limited to the specific forms and tax years agreed upon. It does not include audit representation, ongoing tax planning, or advice on a-related matters unless explicitly stated in a separate agreement.

8. Fees and Payment

Fees for services are listed on our website or agreed in writing. All payments are final and non-refundable unless otherwise stated.

You are responsible for any government filing fees, bank charges, or third-party platform fees.

9. Intellectual Property

All content on indieing.com, including designs, branding, and documentation, is the intellectual property of Indieing or its licensors. You may not copy, modify, or redistribute our content without permission.

10. Indemnification

You agree to defend, indemnify, and hold harmless Indieing, its officers, directors, employees, and partners from any claim, liability, or loss arising from:

  • Your misuse of the Services
  • Your violation of these Terms or any laws
  • Any dispute between you and a third-party platform or government agency

11. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability in any matter arising out of these Terms shall be limited to the fees you paid us in the past 12 months

12. Force Majeure

We are not responsible for delays or failures in service due to events beyond our control (e.g., internet outages, legal restrictions, natural disasters, policy changes by the IRS or banks).

13. Termination

We may suspend or terminate your access to the Services at our discretion, especially in cases of fraud, illegal activity, or breach of these Terms.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA. You agree to resolve any legal dispute in a court located in Wyoming, unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated date. Continued use of the Services after changes constitutes acceptance of the new terms.
